1. Service Overview

BrandRadar is an AI-powered visibility intelligence platform that tracks, analyses, and optimizes how brands appear across Generative AI and Search ecosystems (including ChatGPT, Gemini, Perplexity, and other comparable interfaces). The Platform provides insights such as brand visibility mapping, topic-level and sentiment analysis, citation tracking, competitive positioning, and narrative opportunity identification.

2. Access & Subscription

Subject to payment of fees under the relevant Order Form, BrandRadar grants the Client a limited, non-exclusive, non-transferable right to access and use the Platform during the subscription term for internal business analysis. The Client shall ensure that login credentials are used only by authorized personnel and kept confidential. Sharing access beyond authorized users is prohibited. The Client shall not copy, modify, reverse-engineer, or use the Platform to develop a competing product.

3. Fees & Payment

Fees, billing cycles, and payment terms are set out in the applicable Order Form. All fees are quoted in USD and exclusive of applicable taxes. Subscriptions renew automatically on a month-to-month basis unless terminated as per the terms set out in the applicable Order Form. Failure to make timely payment may result in suspension of access.

4. Data & Privacy

BrandRadar analyses publicly available and open-web data only. No internal systems or proprietary databases of the Client are accessed. Any Client content voluntarily supplied remains the Client’s property and will be used solely to provide the Services. BrandRadar implements appropriate technical and organizational measures to protect data integrity and confidentiality. The Platform’s privacy practices are described in our Privacy Policy at https://www.brandradar.ai/privacy.

5. Intellectual Property

All rights, title, and interest in the Platform, its analytics, algorithms, dashboards, and other output remain the exclusive property of BrandRadar. The Client is granted a limited right to use dashboards, reports, and insights internally for its own business purposes. BrandRadar may use aggregated and anonymized data derived from usage for product improvement and analytics.

6. Confidentiality

Each Party agrees to maintain the confidentiality of non-public information received from the other and not to disclose such information except as required by law. These obligations survive termination for two (2) years.

7. Service Availability & Support

BrandRadar aims to provide reasonable uptime and performance but does not guarantee uninterrupted access. Routine maintenance or outages may occur without prior notice. Support requests may be sent to platform@brandradar.ai.

8. Warranties & Disclaimers

The Services are provided 'as is' and 'as available.' While BrandRadar strives for accuracy, outputs are derived from public data, which may not always be complete or current. BrandRadar disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law: (a) BrandRadar’s total liability shall not exceed the total subscription fees paid during the three (3) months preceding the event giving rise to liability; and (b) neither Party shall be liable for indirect, incidental, or consequential losses.

10. Indemnity

The Client agrees to indemnify and hold harmless BrandRadar from any claims, losses, or expenses arising from misuse of the Platform, breach of these Terms, or violation of law by the Client or its users.

11. Termination

Either Party may terminate by giving written notice as per the terms set out in the applicable Order Form. BrandRadar may terminate or suspend access immediately for non-payment or material breach. Upon termination, Client access will cease, and BrandRadar will retain data only as required by law.

12. Publicity & Brand Use

With the Client’s consent, BrandRadar may identify the Client as a customer in marketing materials or case studies. No public statement implying endorsement shall be made without prior approval.

13. Force Majeure

Neither Party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including natural disasters, internet outages, or governmental actions.

14. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to conflict of law principles.

For Clients based in Sri Lanka, the Agreement shall instead be governed by the laws of Sri Lanka, and the courts of Colombo shall have exclusive jurisdiction.

For all other Clients, any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

15. Modifications

BrandRadar may update these Terms from time to time. Updated versions will be posted at https://www.brandradar.ai/terms and apply to new or renewed subscriptions. Continued use constitutes acceptance.
